Terms of Service
Effective date: September 3, 2026
These Terms of Service (“Terms”) govern your access to and use of Katsu, a service operated by Shasta Tech Systems, a California sole proprietorship (“Katsu,” “Shasta Tech Systems,” “we,” “us,” or “our”).
By creating an account, purchasing a subscription, accessing, or using Katsu, you agree to these Terms.
If you do not agree, do not use Katsu.
1. Business Service
Katsu is a software platform designed primarily for small businesses, contractors, service businesses, and other business users.
Features may include:
- Document management
- Customer and contact management
- Website creation and management
- Search-engine-optimization tools
- AI-assisted content creation
- Prospecting and business-search tools
- AI assistant functionality
- Email functionality
- Customer-management functionality
- Related business productivity tools
Katsu may add, change, restrict, or discontinue features over time.
2. Eligibility
You must be at least 18 years old to use Katsu.
By creating or using an account, you represent and warrant that you are at least 18 years old and have legal authority to enter into these Terms.
Katsu is currently offered for business use within the United States.
3. Accounts
Katsu accounts are currently intended for a single user.
You are responsible for:
- Providing accurate account information
- Maintaining a current email address
- Protecting your login credentials
- Keeping passwords confidential
- Activity occurring through your account
- Promptly notifying Katsu of suspected unauthorized access
Account credentials may not be shared with other persons.
Katsu may not technically prevent every instance of credential sharing, but sharing credentials remains prohibited.
Notices sent to the email address associated with your account may be treated as valid account-related communications.
4. Subscription and Payment
Katsu is offered through monthly paid subscriptions.
Subscriptions automatically renew each month until canceled.
Payments are processed through Stripe.
Katsu does not directly store full payment-card numbers or card security codes.
By purchasing a subscription, you authorize Katsu and its payment processor to charge the applicable recurring subscription fee and applicable taxes to your selected payment method.
5. Cancellation
You may cancel your subscription at any time.
Cancellation stops future renewals but does not ordinarily terminate access immediately.
Unless Katsu suspends or terminates your account for violation of these Terms, paid access generally continues until the end of the then-current billing period.
6. No Refunds
Except where required by applicable law, payments are non-refundable.
Katsu does not provide prorated refunds or credits for:
- Partial subscription periods
- Unused Service
- Failure to use available features
- Cancellation during a billing period
- Feature changes
7. Price Changes
Katsu may change subscription pricing.
We will provide at least 30 days’ advance notice of a price increase applicable to an existing subscription.
Continued use after the new price becomes effective constitutes acceptance of the new price, subject to applicable law.
Users may cancel before the new price takes effect.
8. User Content
“User Content” means information, documents, images, text, logos, files, customer records, website material, communications, and other content that a user uploads, creates, submits, synchronizes, or stores through Katsu.
You retain ownership of your User Content.
You grant Katsu a limited, non-exclusive license to host, store, reproduce, process, transmit, modify as technically necessary, and display User Content solely as reasonably necessary to operate, maintain, secure, and provide the Service.
This license ends when the applicable content is deleted from the Service, except for temporary backup copies, legal retention requirements, or other circumstances permitted by these Terms or the Privacy Policy.
9. Responsibility for User Content
You represent and warrant that:
- You own your User Content or have sufficient rights to use it
- You have the legal authority to provide it to Katsu
- Processing it through Katsu does not violate applicable law
- Its use does not infringe another person’s intellectual-property or privacy rights
You are responsible for notices, permissions, consents, and legal bases required to collect or process information concerning your customers, prospects, employees, or other third parties.
10. Prohibited Sensitive Information
Katsu is not designed for storage of highly sensitive regulated information.
You must not intentionally use Katsu to store prohibited highly sensitive information, including:
- Social Security numbers
- Complete credit-card information
- CVV or card security codes
- Banking passwords or credentials
- Protected medical records
- Highly sensitive authentication secrets
- Similar sensitive information prohibited by Katsu policies
A user’s ability to technically upload information does not mean that Katsu authorizes its storage.
If you upload prohibited information despite this restriction, you remain responsible for that information and your violation of these Terms.
11. File and Storage Limits
Katsu may impose restrictions concerning:
- File types
- Individual file sizes
- Total storage
- Number of files
- Bandwidth
- Email activity
- AI usage
- API activity
- Other usage limits
Katsu may modify reasonable technical limits as the Service evolves.
12. AI Features
Katsu includes features using artificial intelligence, including technology supplied through OpenAI APIs.
AI functionality may process information such as:
- User instructions
- Email content
- Calendar information
- Documents
- Customer records
- Website content
- Business information
AI systems can make mistakes, generate incomplete information, misinterpret information, or produce inaccurate output.
You are responsible for reviewing AI-generated output before relying on, distributing, sending, publishing, or acting upon it.
Katsu does not guarantee:
- Accuracy
- Completeness
- Legal compliance of AI output
- Search-engine rankings
- Customer acquisition
- Revenue
- Sales
- Lead quality
- Business outcomes
AI-generated information is a tool for user review and is not a substitute for professional judgment.
13. User Approval of Actions
Katsu is designed so that certain consequential AI-assisted actions require user approval.
Katsu’s AI assistant will not intentionally perform designated external actions such as sending email, publishing content, or materially modifying records without the approval required by the applicable Katsu workflow.
You remain responsible for reviewing and approving an action before authorizing it.
14. Prospecting and Outreach
Katsu may provide prospecting, research, search, or AI-assisted lead-generation functionality.
Information generated through these features may be derived through AI-assisted search and publicly available information.
Katsu does not guarantee the accuracy, currency, legality, completeness, or availability of prospect information.
Users must review and approve outreach emails before they are sent.
You are solely responsible for ensuring that your marketing, prospecting, email, telephone, or other outreach complies with applicable law, including where applicable:
- CAN-SPAM Act requirements
- Telephone Consumer Protection Act requirements
- Do-not-call requirements
- State marketing laws
- Privacy laws
- Consent requirements
- Unsubscribe and opt-out obligations
Katsu does not authorize spam or unlawful solicitation.
15. Hosted Websites
Katsu may host and manage public business websites for subscribers using infrastructure operated by Katsu and its service providers.
Customers retain ownership of their own website content.
Katsu does not currently provide custom-domain functionality.
A Katsu-hosted website associated with a canceled account may remain available through the end of the customer’s paid subscription period and may thereafter be disabled or removed.
Katsu may remove or disable content that violates these Terms or applicable law.
16. SEO Tools
Katsu may provide search-engine-optimization tools, recommendations, content generation, or related functionality.
Katsu does not control search engines.
Katsu does not guarantee:
- Search-engine rankings
- Indexing
- Search visibility
- Search traffic
- Leads
- Conversion rates
- Placement in search results
Search engines may change their algorithms, policies, and indexing practices without notice.
17. Acceptable Use
You may not use Katsu to:
- Violate applicable law
- Commit fraud
- Send unlawful spam
- Harass or abuse others
- Distribute malware
- Attempt unauthorized access
- Interfere with Service operation
- Infringe intellectual-property rights
- Violate another person’s privacy
- Misrepresent your identity
- Collect information unlawfully
- Engage in deceptive business practices
- Circumvent technical limitations
- Attempt to compromise Katsu’s security
18. Intellectual Property
Except for User Content, Katsu and Shasta Tech Systems retain all rights in the Service, including:
- Software
- Source code
- Object code
- User interface
- Platform design
- Katsu branding
- Trademarks
- Documentation
- Workflows
- Proprietary technology
Except where expressly permitted, you may not:
- Copy Katsu software
- Reverse engineer Katsu
- Decompile or disassemble Katsu
- Scrape the Service
- Resell the Service
- Sublicense the Service
- Reproduce proprietary materials
- Commercially exploit Katsu without permission
- Circumvent usage restrictions
19. Copyright and DMCA Complaints
Katsu respects intellectual-property rights.
Copyright or infringement complaints regarding content hosted through Katsu may be submitted to:
A notice should provide sufficient information to identify the allegedly infringing content and the rights claimed.
Katsu may remove or disable content that it reasonably believes infringes intellectual-property rights, violates law, or breaches these Terms.
20. Third-Party Services
Katsu relies on third-party services that may include:
- Stripe
- OpenAI
- Hetzner
- Amazon Web Services
- Email-delivery providers
- Other future infrastructure or integration providers
Third-party services are governed by their own terms, policies, technical limitations, and availability.
Katsu is not responsible for outages, errors, changes, discontinuation, or acts or omissions of third-party providers outside Katsu’s reasonable control.
Katsu may add, modify, replace, or discontinue third-party integrations.
21. Future Integrations and Service Providers
Katsu may use additional service providers, subcontractors, or integrations as necessary to operate and improve the Service.
Where appropriate, providers processing information on Katsu’s behalf will be expected to handle information only for legitimate service purposes and under appropriate confidentiality or data-protection requirements.
22. Availability and Maintenance
Katsu does not provide an uptime service-level agreement unless a separate written agreement expressly states otherwise.
We will use commercially reasonable efforts to maintain Service availability.
The Service may be temporarily unavailable because of:
- Scheduled maintenance
- Emergency maintenance
- Software updates
- Security issues
- Internet outages
- Infrastructure failures
- Third-party outages
- Legal requirements
- Events outside Katsu’s reasonable control
No specific support-response time is guaranteed.
23. Suspension and Termination
Katsu may suspend or terminate access when reasonably necessary because of:
- Nonpayment
- Violation of these Terms
- Unlawful activity
- Fraud
- Abuse
- Security threats
- Threats to other users or systems
- Required legal action
- Material misuse of the Service
Serious violations may result in immediate suspension or termination.
Ordinary customer cancellation generally remains effective at the end of the paid billing period.
24. Account Deletion and Retention
Users may request account deletion by emailing:
Katsu may verify the requester’s identity.
Following account deletion, Katsu generally deletes account data from active systems within 30 days, except where retention is reasonably required for:
- Legal compliance
- Billing records
- Fraud prevention
- Security
- Dispute resolution
- Enforcement of these Terms
Data may remain temporarily in backups until the applicable backup cycle expires.
25. No Professional Advice
Katsu does not provide legal, financial, tax, medical, accounting, or other regulated professional advice.
AI output, SEO recommendations, business-search results, and other information generated through Katsu are provided for business productivity purposes only.
You should obtain advice from an appropriately qualified professional when necessary.
26. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, KATSU IS PROVIDED “AS IS” AND “AS AVAILABLE.”
SHASTA TECH SYSTEMS DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF:
- MERCHANTABILITY
- FITNESS FOR A PARTICULAR PURPOSE
- NON-INFRINGEMENT
- ACCURACY
- RELIABILITY
- AVAILABILITY
KATSU DOES NOT WARRANT THAT:
- THE SERVICE WILL BE UNINTERRUPTED
- THE SERVICE WILL BE ERROR-FREE
- ALL DATA WILL ALWAYS BE AVAILABLE
- AI OUTPUT WILL BE ACCURATE
- SEARCH OR SEO RESULTS WILL IMPROVE
- PROSPECTING INFORMATION WILL BE ACCURATE
- KATSU WILL PRODUCE ANY PARTICULAR BUSINESS RESULT
Some jurisdictions do not permit certain warranty exclusions, so some exclusions may not apply to you.
27. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SHASTA TECH SYSTEMS AND KATSU WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITIES, GOODWILL, OR BUSINESS INTERRUPTION.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF SHASTA TECH SYSTEMS AND KATSU ARISING FROM OR RELATED TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE TOTAL AMOUNT YOU PAID TO KATSU DURING THE 12 MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
Nothing in these Terms excludes liability that cannot lawfully be excluded or limited.
28. Indemnification
To the extent permitted by law, you agree to defend, indemnify, and hold harmless Shasta Tech Systems and Katsu from claims, damages, liabilities, costs, and reasonable legal expenses arising from or relating to:
- Your unlawful use of Katsu
- Your User Content
- Information concerning your customers or other third parties
- Your marketing or prospecting activities
- Your infringement of another person’s rights
- Your violation of applicable law
- Your violation of these Terms
29. Force Majeure
Katsu will not be liable for delay or failure caused by events outside its reasonable control, including:
- Natural disasters
- Fire
- Flood
- Earthquake
- Severe weather
- War
- Terrorism
- Civil unrest
- Government action
- Labor disruption
- Internet failure
- Utility failure
- Cyberattacks
- Third-party infrastructure failures
- Cloud-provider failures
30. Governing Law
These Terms are governed by the laws of the State of California, without regard to conflict-of-laws principles.
31. Venue and Individual Claims
Except where applicable law requires otherwise, disputes arising from or relating to these Terms or Katsu will be brought exclusively in an appropriate state or federal court located in or serving Shasta County, California.
Each party consents to personal jurisdiction and venue there.
To the maximum extent permitted by law, disputes must be brought on an individual basis.
You waive the right to participate as a plaintiff or class member in a purported class, consolidated, collective, or representative proceeding, except where such waiver is prohibited by law.
32. Changes to the Service
Katsu may modify, add, remove, replace, or discontinue features.
This may include changes to:
- AI features
- Calendar features
- SEO functionality
- Prospecting functionality
- Website-management functionality
- Storage
- Integrations
- Usage limits
Where reasonably practical, Katsu may provide notice of material changes that significantly affect the Service.
33. Changes to These Terms
Katsu may update these Terms periodically.
If a change is material, we may notify users by:
- An in-product notice
- A notice on the Katsu website
- Another reasonable method
Continued use of Katsu after revised Terms become effective constitutes acceptance of the revised Terms to the extent permitted by law.
34. Assignment
You may not assign or transfer these Terms without Katsu’s prior written consent.
Katsu may assign these Terms in connection with a merger, acquisition, financing, restructuring, sale of assets, transfer of the Service, or similar business transaction.
35. Entire Agreement
These Terms, together with the Privacy Policy and any additional written terms expressly applicable to a feature or subscription, constitute the entire agreement between you and Shasta Tech Systems concerning Katsu.
36. Severability
If a provision of these Terms is held unenforceable, the remaining provisions will remain in effect to the maximum extent permitted by law.
37. Waiver
Failure to enforce a provision of these Terms does not waive the right to enforce that provision later.
38. Survival
Provisions that by their nature should survive termination will survive, including provisions concerning ownership, payment obligations, disclaimers, limitations of liability, indemnification, dispute resolution, and enforcement.
